Terms of Service

1Acceptance of Terms

By accessing or using Vowlio — including our website, mobile applications, and any related services — you confirm that you are at least 18 years old, have the legal capacity to enter into a binding agreement, and agree to these Terms in full.

If you are using Vowlio on behalf of a business, you represent that you have authority to bind that business to these Terms, and "you" refers to both you and that business.

2Description of Service

Vowlio is a wedding planning and vendor marketplace platform. We provide tools to help couples plan their wedding (guest list management, budget tracking, planning checklists) and a marketplace that connects couples with wedding service vendors (photographers, florists, venues, caterers, and others).

Vowlio is a platform only. We do not employ vendors, provide wedding services directly, or guarantee the quality, safety, or legality of any vendor's services. All transactions and agreements made between couples and vendors are solely between those parties.

3Accounts & Registration

To access most features of Vowlio, you must register for an account. When registering, you agree to:

• Provide accurate, current, and complete information.
• Keep your password confidential and notify us immediately of any unauthorised access.
• Be responsible for all activity that occurs under your account.
• Not share your account credentials with any other person.
• Not create more than one account per person or business without our express permission (except under a Studio plan).

We reserve the right to suspend or terminate accounts that contain false information or violate these Terms.

4Terms for Couples

As a couple using Vowlio, you understand and agree that:

• Your wedding profile information (date, location, style, budget range, and vision description) may be shared with vendors when you submit a lead request. Your email address and full guest list are not shared without your explicit action.
• Lead requests you post are genuine requests for wedding services. Posting fake or test leads to game vendor responses is prohibited.
• Selecting a vendor on Vowlio does not create a binding contract between you and the vendor. All booking agreements, contracts, deposits, and payments between you and a vendor are made directly between you and that vendor, outside of Vowlio's platform.
• Reviews you submit about vendors must be honest, based on genuine experience, and comply with our Content guidelines in Section 8.
• Free plan users are subject to feature limits as described on our Pricing page, which may change with reasonable notice.

5Terms for Vendors

As a vendor using Vowlio, you understand and agree that:

• You are an independent business or contractor, not an employee, agent, or partner of Vowlio. Vowlio does not control how you deliver your services.
• Your profile must accurately represent your business, including your location, service category, pricing, and portfolio. Misrepresentation will result in account suspension.
• Portfolio photos you upload must be your own work or work you have explicit rights to display. Do not upload photos you do not own.
• Proposals you submit to couples must be genuine, accurate, and reflect services you are actually able to provide. Sending mass, copy-paste proposals with no personalisation is prohibited.
• You are solely responsible for your own business obligations, including contracts with couples, service delivery, taxes, insurance, and legal compliance in your jurisdiction.
• You must not solicit couples to move off the Vowlio platform to avoid platform fees while continuing to benefit from Vowlio leads.
• Lead responses are limited based on your subscription plan. Starter plans include 5 responses per month; Pro and Studio plans include unlimited responses.
• Expo events. Vendors who create expo event listings are solely responsible for the accuracy of event details, fulfilment of the event, and any refunds owed to attendees or exhibitors. Vowlio bears no liability for expo events.
• Portfolio images. All images must be your own work or work you have the right to display. You may not use a competitor's work, stock photography, or AI-generated images to misrepresent your services. Violation results in immediate suspension and may be reported as copyright infringement.

6Subscriptions & Payments

Billing

Paid plans are billed on a recurring basis — monthly or annually depending on your selection. Billing begins on the date you subscribe. All payments are processed securely through Stripe. By providing payment information, you authorise us to charge your payment method on a recurring basis until you cancel.

Automatic Renewal

Subscriptions renew automatically at the end of each billing period unless you cancel before the renewal date. You will receive a reminder email before each annual renewal.

Cancellation

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period — you retain access to paid features until then. We do not pro-rate cancellations mid-period for monthly plans.

Price Changes

We reserve the right to change subscription prices. If we increase your plan's price, we will give you at least 30 days' notice before the change takes effect. Your continued use of the service after the price change constitutes acceptance of the new price.

Wedding Date Auto-Cancellation

When a couple sets a wedding date on their profile, Vowlio automatically schedules their subscription to cancel at the end of the billing period that contains that date. This ensures couples are not charged for months after their wedding. You will receive an email notification before cancellation. To disable this, remove your wedding date in profile settings or contact support.

Subscription Violations

Sharing subscription access between unrelated users, using automated scripts to access premium features, or otherwise abusing the subscription system will result in immediate account termination without refund.

Taxes

Prices shown on the Pricing page are exclusive of applicable taxes. Depending on your location, sales tax or VAT may be added at checkout.

7Refund Policy

We offer a 14-day free trial on all vendor paid plans. No credit card is required during the trial period. After the trial ends, you are charged for your first billing period.

Monthly plans: We do not offer refunds for monthly subscriptions once a billing period has begun. You may cancel at any time to prevent future charges.

Annual plans: If you cancel an annual plan within 7 days of your billing date, you are eligible for a full refund. After 7 days, no refund is issued for the remaining months.

Exceptions: Refunds may be issued at our discretion in cases of documented technical failure on our part that prevented access to the service. To request a refund, contact support@vowlio.com within the eligible period.

8User Content & Image Ownership

"User Content" means any text, photos, reviews, proposals, profiles, or other material you submit to Vowlio. By submitting User Content, you:

• Grant Vowlio a non-exclusive, worldwide, royalty-free licence to use, display, reproduce, and distribute your content solely for the purpose of operating and promoting the platform.
• Confirm that you own or have the necessary rights to the content you submit, and that it does not infringe any third party's rights.
• Agree that your content is accurate and not misleading.

User Content must not:

• Be false, defamatory, abusive, harassing, or threatening.
• Infringe any copyright, trademark, or other intellectual property rights.
• Contain spam, unsolicited advertising, or promotional material.
• Include personally identifiable information about others without their consent.
• Violate any applicable law or regulation.

We reserve the right to remove any User Content that violates these guidelines without notice.

Image Ownership

You retain full ownership of all photographs and images you upload to Vowlio. By uploading images, you grant Vowlio a non-exclusive, worldwide, royalty-free licence to display and reproduce them solely for platform operation and promotion. This licence terminates when you delete the image or close your account.

By uploading images you confirm that: (a) you are the photographer or have explicit rights to use and share the image; (b) the image does not infringe any third party's copyright; and (c) any people depicted have consented to their likeness being shared on a public platform. Uploading images you do not own is copyright infringement and may result in a DMCA takedown and account termination.

9Copyright & DMCA Takedown Policy

Vowlio complies with the Digital Millennium Copyright Act (DMCA). If you believe content on the Platform infringes your copyright, send a written notice to dmca@vowlio.com containing all of the following:

• A physical or electronic signature of the copyright owner or authorised agent.
• Identification of the copyrighted work you claim has been infringed.
• Identification of the infringing material with sufficient detail to locate it (e.g., a URL).
• Your name, address, telephone number, and email address.
• A statement of good faith belief that the use is not authorised by the copyright owner, its agent, or the law.
• A statement, under penalty of perjury, that the information is accurate and you are authorised to act.

Counter-Notices

If you believe your content was removed in error, submit a counter-notice to dmca@vowlio.com including your contact details, identification of the removed material, a statement under penalty of perjury that you believe removal was a mistake, and consent to jurisdiction of the applicable federal district court.

Repeat Infringers

We will terminate the accounts of users found to be repeat copyright infringers.

10Wedding Registry

The Vowlio registry feature lets couples share gift links to third-party retailers. You agree that:

• Vowlio is not a retailer. We do not sell, ship, or fulfil any products. All purchases are made directly through the linked retailer.
• Purchase disputes are solely between the guest and the retailer. Vowlio has no liability for any transaction.
• Couples are responsible for ensuring registry links point to the correct products. Vowlio does not verify product availability or pricing.
• "Purchased" markings are on the honour system. Vowlio is not responsible for duplicate gifts resulting from guests failing to mark items.
• No current affiliate relationships — Vowlio does not earn commissions on registry purchases. If this changes, it will be disclosed in these Terms.

11Wedding Planner Access

Couples may invite wedding planners to access their planning dashboard. Both parties agree that:

• Couple retains data ownership. All data in a couple's account belongs to the couple. Granting planner access does not transfer ownership or any rights to that data.
• Planners may only use access for the benefit of that specific couple and for legitimate wedding planning purposes. Planners may not export, copy, share, or monetise data without explicit written consent.
• Access is revocable at any time. Couples may revoke planner access instantly from account settings.
• Vowlio does not vet planners. We do not certify, endorse, or guarantee any planner's professional qualifications.
• Data confidentiality. Planners acknowledge the couple's data is private and confidential. Unauthorised disclosure may violate applicable privacy laws and these Terms.

12Prohibited Conduct

You agree not to:

• Use Vowlio for any unlawful purpose or in violation of these Terms.
• Scrape, crawl, or use automated tools to access or extract data from Vowlio without our written permission.
• Attempt to gain unauthorised access to any part of the platform or another user's account.
• Post fake reviews, whether positive about yourself or negative about a competitor.
• Create fake accounts or impersonate any person or business.
• Transmit malware, viruses, or any code designed to disrupt or harm the platform.
• Use the platform to collect or harvest other users' data for commercial purposes outside of Vowlio.
• Circumvent or disable any security feature of the platform.
• Attempt SQL injection, cross-site scripting, or any other code injection against the Platform.
• Conduct credential stuffing, brute force attacks, or phishing attempts against Vowlio or its users.
• Upload ransomware, trojans, or any malicious or harmful code.
• Decompile, disassemble, or reverse engineer any part of the Platform's software.

Violations may result in immediate account suspension or termination, and we reserve the right to pursue legal action. Serious technical violations may be referred to federal law enforcement under the Computer Fraud and Abuse Act (18 U.S.C. §1030) and other applicable statutes.

13Intellectual Property

All content on Vowlio that is not User Content — including the platform design, code, logos, trademarks, graphics, and written copy — is owned by or licensed to Vowlio and protected by applicable intellectual property laws.

You may not reproduce, distribute, modify, or create derivative works from any Vowlio-owned content without our express written permission.

"Vowlio" and our logo are trademarks. Nothing in these Terms grants you any right to use our trademarks without prior written consent.

14Disclaimers

Vowlio is provided on an "as is" and "as available" basis. We make no warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that:

• The platform will be uninterrupted, error-free, or free of viruses.
• Vendor listings are accurate, complete, or up to date.
• Any vendor will respond to a lead request or fulfil their proposal.
• The platform will meet your specific requirements.

We are not responsible for the actions, services, quality, or conduct of any vendor listed on the platform. Your use of Vowlio and any vendor you engage through it is at your own risk.

15Limitation of Liability

To the fullest extent permitted by law, Vowlio and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, data, goodwill, or business opportunities — arising out of or in connection with your use of the platform.

In no event shall Vowlio's total liability to you for all claims related to the service exceed the greater of:

• The total amount you paid to Vowlio in the 12 months preceding the claim, or
• One hundred US dollars ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you in full.

16Indemnification

You agree to indemnify, defend, and hold harmless Vowlio and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:

• Your use of the platform in violation of these Terms.
• Any User Content you submit.
• Any dispute between you and another user of the platform.
• Your violation of any third party's rights.

17Termination

You may close your account at any time by going to account settings and selecting "Delete Account." Paid subscriptions must be cancelled separately before deletion to stop future billing.

We may suspend or terminate your account at any time, with or without notice, if we believe you have violated these Terms, engaged in fraudulent activity, or pose a risk to other users or the platform.

Upon termination, your right to use the platform ceases immediately. Sections 8 through 18 of these Terms survive termination.

18Disputes & Governing Law

These Terms are governed by the laws of the State of Tennessee, United States, without regard to conflict of law principles.

Before filing any formal legal claim, you agree to contact us at legal@vowlio.com and attempt to resolve the dispute informally. We will try to resolve any dispute within 30 days of receiving your notice.

If a dispute cannot be resolved informally, you and Vowlio agree to resolve it through binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court. You waive any right to a jury trial or class action.

Notwithstanding the above, either party may seek injunctive or equitable relief in a court of competent jurisdiction to protect intellectual property rights or prevent imminent harm.

Class Action Waiver

YOU AND VOWLIO AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

Governing Jurisdiction

To the extent a dispute proceeds in court rather than arbitration, you and Vowlio consent to exclusive jurisdiction in the state and federal courts located in Shelby County, Tennessee.

19Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email and/or by displaying a prominent notice on the platform at least 14 days before the changes take effect.

Your continued use of Vowlio after the effective date of updated Terms constitutes your acceptance of the new Terms. If you do not agree to the updated Terms, you must stop using the platform and cancel any active subscription.
